*Legal and Governance Officer*

Location: *Nairobi*
Salary: *100k gross*

* *Responsibilities:*
In close collaboration with the leadership team, to carry out the following tasks:
1. Legal Advisory and Compliance
● Provide legal guidance to the consultancy and its family office clients on corporate structuring, trust and
estate planning, investment regulations, and wealth management.
● Ensure compliance with relevant jurisdictional regulations, financial services laws and reporting
requirements for family offices.
● Monitor legal and regulatory changes affecting family offices, private wealth, and corporate structures,
advising clients accordingly.
● Advise on data privacy, confidentiality, and cross-border compliance obligations.
2. Corporate Governance and Structuring
● Assist in setting up and structuring family offices, trusts, foundations, and holding companies in various
jurisdictions.
● Draft and review governance frameworks, shareholder agreements, and family constitutions.
● Ensure proper legal documentation and filings for company secretarial functions and corporate governance
compliance.
3. Contract Management and Negotiation
● Draft, review, and negotiate contracts, including investment agreements, asset management agreements,
service-level agreements (SLAs), HR, real estate transactions, and partnership agreements.
● Ensure legal and financial safeguards in all contracts and commercial dealings.
● Drafting and registering of tenant leases
● Maintain a structured repository of all legal agreements and documentation.
4. Estate Planning and Wealth Protection
● Provide legal support on estate planning, succession planning, and inheritance laws across multiple
jurisdictions.
● Advise on trust structures, wills, and fiduciary responsibilities to ensure seamless intergenerational wealth
transfer.
● Coordinate with external legal counsel and financial institutions on wealth structuring strategies.
Dispute Resolution and Litigation Management
● Ensure compliance with the Companies Act and other relevant regulatory requirements. Manage legal
disputes, arbitration, and litigation involving the consultancy or its clients.
● Liaise with external legal counsel on family and commercial disputes.
● Offer strategic advice on dispute resolution mechanisms, ensuring confidentiality and alignment with
family interests.
6. Regulatory and Risk Management
● Identify, assess, and mitigate legal and regulatory risks related to investments, taxation, and compliance for
family offices.
● Ensure timely submission of regulatory filings, reports, and disclosures as required by law.
● Work closely with tax advisors, compliance teams, and financial professionals to safeguard family wealth

7. Legal and Statutory Advice
● Provide legal and governance advice to the Board of Directors on compliance matters.
● Ensure the company operates within the framework of applicable laws and regulations.
8. Stakeholder Relations
● Act as a point of contact for regulatory bodies and ensure timely responses to queries.
● Liaise with external stakeholders, such as auditors, legal advisors, and tax authorities.
● Support the board by coordinating board meetings and minute taking during board meetings.
9. Document Management
● Draft and maintain corporate documents, such as Memorandum and Articles of Association, board
resolutions, and shareholder agreements.
● Safeguard sensitive company information and ensure proper documentation and filing.
● Collaborate with other departments to align financial strategies with overall business goals.
● Support business development initiatives by analysing financial feasibility.
 Academic and Professional Qualifications
● Bachelor’s degree in Law (LLB) from a recognized institution.
● Postgraduate Diploma in Law and admission to the Bar (Advocate of the High Court).
● CPS (K) certification required.
● Minimum 3 years of experience in corporate/commercial law, wealth management, or private client
advisory.
● Experience in family office structures, estate planning, investment law, or financial regulations is highly
preferred.
● Experience as a Notary Public is an added advantage.
● Knowledge of cross-border legal frameworks, tax laws, and financial services regulations.
● Familiarity with trust laws, fiduciary duties, and alternative investment vehicles (private equity, real estate, venture capital).
